ARTICLE I: NAME AND PURPOSE
Section 1. Name
The name of the organization shall be 'Save Our Teacher,' hereinafter referred to as 'Save Our Teacher.'
Section 2. Purpose
Save Our Teacher is a 100% student-driven initiative dedicated to creating innovative solutions to support teachers and improve education worldwide. Our mission includes:
- Empowering students.
- Supporting teachers.
- Building global communities.
These objectives are achieved through international fundraising, scholarships, community events, partnerships, and other charitable activities.
ARTICLE II: MEMBERSHIP
Section 1. Eligibility
Membership is open to individuals, organizations, and institutions globally that support the mission and purposes of Save Our Teacher.
Section 2. Classes of Membership
Save Our Teacher may have multiple classes of membership as determined by the Board of Directors, including individual, institutional, and honorary memberships.
Section 3. Voting Rights
Each member shall have one vote on matters submitted to a vote of the members.
ARTICLE III: BOARD OF DIRECTORS
Section 1. General Powers
The Board of Directors shall manage the affairs of Save Our Teacher on a global scale.
Section 2. Number and Tenure
The number of Directors shall be determined by the Board, but shall consist of no fewer than three (3) members. Each Director shall serve a term of two (2) years and may be re-elected for a second term, but no more than two (2) terms consecutively. Board members must have an active student enrolled in school to be eligible to serve on the Board of Directors. At least one (1) board member shall be an active student who maintains honor roll status.
Section 3. Geographic Representation
The Board shall strive for geographic diversity to ensure representation from various countries and regions.
Section 4. Regular Meetings
The Board shall hold regular meetings at times and places determined by the Board, with the option for virtual meetings to accommodate global members.
Section 5. Special Meetings
Special meetings may be called by the President or any two Directors.
Section 6. Quorum
A majority of the Directors shall constitute a quorum for the transaction of business.
ARTICLE IV: OFFICERS
Section 1. Officers
The officers of Save Our Teacher shall be a President, Vice-President, Secretary, Treasurer, and Executive Director.
Section 2. Election and Term of Office
Officers, except the Executive Director, shall be elected annually by the Board of Directors. Each officer shall serve a one-year term and may be re-elected. The Executive Director shall be appointed by the Board of Directors and shall serve at the discretion of the Board.
Section 3. Duties
- **President**: Shall be the principal executive officer and supervise the global activities of Save Our Teacher, providing leadership and oversight for all operations.
- **Vice-President**: Shall perform duties assigned by the President and assume the President's duties in their absence.
- **Secretary**: Shall keep minutes of meetings, maintain official records, and oversee communication across global operations.
- **Treasurer**: Shall manage, report on, and oversee the finances of Save Our Teacher, ensuring financial compliance with international laws and regulations.
- **Executive Director**: Shall oversee the daily operations and management of Save Our Teacher, implement policies set by the Board of Directors, and coordinate programs and initiatives globally. The Executive Director shall report directly to the Board of Directors and act as the chief operating officer of Save Our Teacher.
ARTICLE V: COMMITTEES
The Board may establish committees as needed to support the mission of Save Our Teacher. Committees may include members and advisors from various countries to address global needs effectively.
ARTICLE VI: FINANCES
Section 1. Fiscal Year
The fiscal year of Save Our Teacher shall begin on January 1 and end on December 31.
Section 2. Funds
All funds shall be used to further the mission of Save Our Teacher and its global activities.
Section 3. Financial Accounts
All financial accounts of Save Our Teacher shall require two (2) signatures to withdraw funds. Three (3) authorized names shall be listed on the account to ensure availability of a second signer in the event one signer is unavailable. The individuals authorized to sign on behalf of Save Our Teacher shall be determined by the Board of Directors and reviewed annually.
Section 4. International Financial Compliance
Save Our Teacher shall ensure compliance with financial and tax regulations in every country where it operates, including reporting requirements for charitable activities and fundraising.
ARTICLE VII: AMENDMENTS
These bylaws may be amended by a two-thirds vote of the Board of Directors, provided that notice of the proposed amendment is given at least ten (10) days prior to the meeting. Amendments must ensure compliance with laws in all countries of operation.
ARTICLE VIII: DISSOLUTION
Upon dissolution, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code or equivalent regulations in other countries, or shall be distributed to an international organization or government entity for charitable purposes.
